This Speaker / Content Release Agreement (this “Agreement”) is entered into by and between the Financial Health Network (“FHN”) and the undersigned speaker. I acknowledge  FHN may record all or parts of its conferences, event, webinar, workshop, meeting, podcast, interview, presentation, or other program (each, an “Event”), whether conducted in person, virtually, or in a hybrid format, including related content made available on FHN’s website, digital platforms, or other distribution channels, in audio, video, or other format and media. All such recordings, transcripts, and related materials, in any format, are referred to hereunder as a “Recording” or the “Recordings”.

I understand that FHN may make such Recording(s) available, before, during, or after an Event to attendees, participants, subscribers, partners, members of the public, or others interested in the subject matter, through any media or distribution channel. 

In consideration of the opportunity to participate in the Event and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, I hereby grant to Financial Health Network and its affiliates, successors, and assigns the following non-exclusive, worldwide rights with respect to any such Recording(s), including:

(1)  The non-exclusive worldwide right to use, transcribe, publish, reproduce, distribute, sell, display, modify, broadcast, create derivative works of, or license my Recording(s), as presented in the Event, alone or in conjunction with other materials;

(2)  The non-exclusive worldwide right to use, transcribe, publish, reproduce, distribute, display, modify, broadcast, or create derivative works of my Recording(s) as part of any publication or digital content relating to the Event, produced by FHN;

(3)  The non-exclusive worldwide right to use, transcribe, publish, reproduce, distribute, display, modify, broadcast, or create derivative works of my Recording(s) to promote and publicize FHN or any of its Events or publications; and

(4)  The non-exclusive right to use and display my name, photo, likeness and biography in connection with the advertising, publicity, and promotion of my Recording(s) or of FHN or any of its Events or publications.

As a speaker, presenter, panelist, moderator, interviewee, or other contributor to an Event, I hereby consent to the foregoing and release and forever discharge Financial Health Network from any claims relating to copyright, rights of publicity, privacy, or defamation, except to the extent arising from Financial Health Network’s willful misconduct or unauthorized use outside the scope of this Agreement.

Ownership of Speaker Materials. Except for the rights expressly granted under this Agreement, I retain ownership of any pre-existing presentation materials, intellectual property, trademarks, or other content created by me. Nothing in this Agreement transfers ownership of such materials to Financial Health Network.

Media Coverage. Unless otherwise designated by Financial Health Network, Events may be attended by members of the media and other authorized attendees who may photograph, record, quote, or report on presentations consistent with applicable Event policies. By participating as a speaker, I acknowledge and accept that my presentation may be covered by such media.

Governing Law. This Agreement shall be governed by the laws of the State of Illinois, without regard to conflicts of law rules, and the exclusive jurisdiction and venue for any dispute arising out of or relating to this Agreement shall be in Cook County, Illinois.

Entire Agreement; Severability. This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written. The failure to require performance of any provision of this Agreement shall not affect a party’s right to require performance at any time thereafter, nor shall a waiver of any breach or default constitute a waiver of any subsequent breach or default. If any provision of this Agreement is held unenforceable, such provision will be modified to reflect the parties’ intention, and the remaining provisions of this Agreement will remain in full force and effect.

I acknowledge that execution of this Agreement does not obligate Financial Health Network to publish my Recordings, presentation, or content, or any part thereof.

This Agreement may be executed electronically and in counterparts, each of which shall be deemed an original.
